Terms of Service and Coaching Disclaimer

Agent Intelligence Lab provides education and coaching only, not legal, tax, financial, or compliance advice, and guarantees no results. You are solely responsible for how you use anything we provide, including AI output, third-party tools, and systems built with or for you. You agree to get your broker’s or compliance department’s approval before using it, follow fair housing laws, use AI ethically and responsibly, and never share client information with AI in a way that would violate your fiduciary duties. You assume all risk, release Agent Intelligence Lab and Frank Vazquez from claims, agree to indemnify them, accept a limit on damages of the fees you paid in the prior three months, and agree to binding individual arbitration in Arizona with a class-action and jury-trial waiver.

Effective October 31, 2026 · Version 2026-10-31.5

1. Agreement to these terms

These Terms of Service and Coaching Disclaimer (the “Terms”) are a binding agreement between you and Elevare Technologies Group, LLC, doing business as Agent Intelligence Lab (“Agent Intelligence Lab,” “we,” “us,” or “our”). They govern your use of everything we provide.

You accept these Terms by checking the acceptance box and typing your full legal name as your electronic signature at checkout or in the client portal, by paying for any service, or by using any part of the Services. If you do not agree, do not purchase or use the Services.

You confirm that you are at least 18 years old, that you are purchasing and using the Services for business and professional purposes and not for personal, family, or household purposes, and that if you accept on behalf of a company, you have authority to bind it.

2. What these terms cover

“Services” means everything Agent Intelligence Lab provides or makes available, in any form, including: the Lab, the Private Lab and other one-on-one coaching, Diagnostics, consultations, systems, automations, prompts, workflows, or integrations built with you or for you, Custom AI agents and their hosting, the Lab Library, templates, recordings, curriculum, written and spoken guidance, the Lab Floor, the website and client portal, emails and other communications, and any output produced by artificial intelligence tools during or because of the Services (together with all related information, the “Materials”).

3. Coaching terms

Coaching is an educational and collaborative process. Frank Vazquez and anyone else who coaches on our behalf (each a “Coach”) share frameworks, demonstrations, feedback, and guidance; you decide what to do with it. Coaching is not consulting on your specific legal, compliance, or financial obligations, is not therapy or counseling, and does not make us responsible for your business, your decisions, or your results.

You are responsible for your own participation: attending sessions you sign up for, preparing, doing the work between sessions, asking for help when you need it, and telling your Coach when something is not working. Your progress depends on your effort.

Lab Sessions, Private Lab sessions, and Diagnostics are scheduled by Agent Intelligence Lab. We may change the format, schedule, frequency, content, Coach, or delivery method (including in person or online) of any session or program. Sessions you miss or arrive late to are not refunded, credited, or rescheduled, except at our sole discretion. If we cancel a paid one-on-one session or Diagnostic, we will reschedule it.

Your Coach may decline to answer a question, decline to work on a particular system or use case, or recommend that you consult an attorney, accountant, your broker, or another professional. A Coach’s suggestion, example, or demonstration is not an instruction, approval, or endorsement of any specific action in your business.

Where an offer says we respond within one business day, such as Private Lab messages and the Lab Floor, that is the standard we work to; a late reply is not a breach of these Terms and does not entitle you to a refund or credit. Other communication with your Coach outside scheduled sessions is a courtesy, at the Coach’s discretion.

4. Coaching and educational purposes only

The Services and Materials are provided for general educational and informational purposes only. They are not, and must not be relied on as, legal, tax, accounting, financial, investment, insurance, compliance, brokerage, licensing, privacy, cybersecurity, or other professional advice.

No attorney-client, fiduciary, agency, employment, partnership, or brokerage relationship is created between you and Agent Intelligence Lab, Frank Vazquez, or anyone associated with us by your use of the Services. Any reference to a law, regulation, rule, or compliance practice is general information that may be incomplete, out of date, or not applicable to your situation.

Before acting on anything you learn or receive through the Services, consult your own licensed attorney, accountant, designated broker, compliance officer, and other qualified professionals.

5. No guarantees of results

We do not promise or guarantee any result, including any amount of income, commissions, leads, listings, closings, clients, time saved, cost savings, rankings, or business growth. Any example, case study, demonstration, or statement about results describes a specific situation and is not typical or a prediction of your results.

Your results depend on many factors outside our control, including your market, effort, skills, business practices, the tools you choose, and conditions in the real estate industry.

6. Artificial intelligence and third-party tools

Artificial intelligence tools can produce output that is inaccurate, incomplete, outdated, biased, offensive, infringing, or otherwise unsuitable, and can present incorrect information with confidence. You are solely responsible for reviewing, verifying, and approving every output before you use it, publish it, or send it to anyone, including clients and consumers.

The Services may involve or recommend third-party products and services, including AI assistants, customer relationship management systems, automation and integration platforms, voice and messaging services, and other software (“Third-Party Tools”). Third-Party Tools are provided by others under their own terms, pricing, and privacy practices. We do not control them and are not responsible for their availability, accuracy, security, data handling, costs, outages, changes, or any loss or harm they cause. Your use of any Third-Party Tool is at your own risk.

7. Ethical and responsible use of AI

You agree to use artificial intelligence, automation, and everything you learn or receive through the Services ethically, honestly, and responsibly, and in a way that protects your clients, consumers, and the public.

In particular, you agree that you will: review and take responsibility for every AI output before you use or share it; never present AI output as fact without verifying it; disclose your use of AI, chatbots, synthetic voices, or AI-generated or AI-altered images wherever required by law, regulation, MLS rules, or your brokerage, and wherever withholding that information would mislead someone; never create or use deepfakes, cloned voices, or likenesses of any person without that person’s express written consent; never use AI to misrepresent a property, including by presenting virtually staged, edited, or AI-generated images without clear disclosure, or by inventing features, conditions, or facts; never use AI to deceive, manipulate, harass, or pressure anyone; and follow the codes of ethics that apply to you, including the National Association of REALTORS® Code of Ethics if you are a member.

8. Client information and fiduciary duties

You owe duties to your clients, which may include duties of confidentiality, loyalty, disclosure, obedience, reasonable care, and accounting. Nothing in the Services changes or reduces those duties, and you are solely responsible for meeting them.

You agree that you will not upload, paste, enter, share, or otherwise disclose any client or consumer information to any artificial intelligence tool, Third-Party Tool, coaching session, or the Lab Floor where doing so would violate your fiduciary or contractual duties, any privacy or data protection law, your brokerage’s policies, or the client’s instructions or consent. This includes, without limitation, names combined with other personal details, contact information, Social Security numbers, financial, income, and credit information, including financing details, account and transaction documents, offer terms, negotiation positions, motivations, and any other confidential or non-public information.

When you use AI with client-related work, you agree to remove or anonymize identifying and confidential details unless you have the client’s informed consent, your brokerage’s approval, and a tool whose terms and settings protect that data (for example, by not using it to train models and by keeping it secure). You are solely responsible for any data you choose to share with any tool and for any breach, exposure, or misuse that results.

9. Fair housing

You agree to comply with the federal Fair Housing Act and all state and local fair housing and anti-discrimination laws, in everything you create, publish, send, or do with the Services, the Materials, or any AI tool.

You will not use AI or any system to discriminate against, steer, exclude, or target any person or group based on race, color, religion, sex (including sexual orientation and gender identity), disability, familial status, national origin, or any other characteristic protected by federal, state, or local law. This includes advertising, ad targeting and audience selection, listing descriptions, neighborhood and school descriptions, lead scoring, lead routing, screening, follow-up, and recommendations.

AI tools can produce discriminatory or exclusionary language and patterns without being asked to. You agree to review every AI-generated listing description, advertisement, message, and recommendation for fair housing compliance before it is used, and to stop using any system that produces discriminatory results.

10. Broker supervision and compliance review

Before you use, implement, or publish anything you learn or receive through the Services in your business, including AI tools, prompts, templates, marketing, advertising, automated calls or texts, chatbots, voice agents, lead systems, and any system built with you or for you, you agree to consult and obtain any required approval from your designated broker, managing broker, or supervising broker, and to follow your brokerage’s policies, including any policy on the use of artificial intelligence.

Agent Intelligence Lab is not your broker or compliance department, does not supervise your licensed activity, and does not review your marketing, communications, or systems for compliance. Any discussion of compliance in the Services is general education and is not a substitute for your broker’s review.

11. Your responsibility for how you use the Services

You are solely responsible for every decision you make and every action you take, or decide not to take, based on the Services or Materials, and for how you use, apply, adapt, reference, share, or rely on them.

You are solely responsible for your own compliance with all laws, regulations, rules, and policies that apply to you and your business, including without limitation the Fair Housing Act and state and local fair housing laws; the Telephone Consumer Protection Act, the Do Not Call registry, and state calling and texting laws; CAN-SPAM and other email laws; the Real Estate Settlement Procedures Act; state real estate licensing, advertising, and disclosure rules, including the rules of the Arizona Department of Real Estate or your state’s regulator; multiple listing service rules; your brokerage’s policies and supervision requirements; privacy, data protection, and data security laws; consumer protection laws; and any law requiring disclosure of the use of artificial intelligence, synthetic voices, or synthetic images.

You are responsible for obtaining every consent, license, and permission required for the data, content, contacts, and communications you use with the Services, and for protecting the confidential and personal information of your clients and contacts.

12. Builds done for you and systems built with you

Any build, system, automation, prompt, workflow, integration, configuration, or other deliverable we set up or build for you or with you, including through the Lab Build Service, the Full Lab Setup, or custom work, is provided as is upon delivery. Except for the hosting we provide for a Custom AI agent under Section 13, you are responsible for reviewing and testing it, deciding whether and how to use it, operating and maintaining it, keeping your accounts, credentials, and data secure, and paying any Third-Party Tool fees it requires. We do not guarantee that any deliverable will be error free, uninterrupted, secure, compliant with any law, or suitable for any particular purpose, or that it will continue to work if a Third-Party Tool changes.

When a build is done inside your own accounts, you choose how access is provided, you remain the owner of those accounts and everything in them, and we will not store your login passwords. A hosted Custom AI agent is the one exception to storing access: it needs the API keys and connection tokens described in Section 13. You are responsible for what data your accounts contain, for removing anything you do not want us to see before the work begins, and for changing your passwords afterward if you shared them.

13. Custom AI agents and hosting

A Custom AI agent is software we build to perform tasks for your business on its own, without you starting each task, within the written scope you approve. Work beyond that scope, and changes after handover, are quoted separately.

Hosting means we run the agent on servers we provide or arrange, so you do not need your own. Hosting includes keeping the agent running on those servers and updating its hosting environment. It does not include new features, new tasks, or changes to what the agent does, which are quoted separately. We will use commercially reasonable efforts to keep a hosted agent running, but we do not guarantee uninterrupted operation, and we may pause an agent for maintenance, for security, to prevent harm or a legal violation, or when a hosting payment is past due.

Your agent uses an artificial intelligence model provider you choose, through an account in your name. You are solely responsible for that account, its terms, and every usage charge it incurs, including charges caused by errors, unexpected volume, or how the agent behaves. You agree to set spending limits and usage alerts with your provider. We are not responsible for a provider’s pricing, outages, rate limits, model changes, or data practices.

To run your agent, we store the API keys and connection tokens you provide for your model provider and the tools the agent connects to. We use them only to operate your agent, protect them with reasonable safeguards, and delete them when hosting ends. Give the agent only the access it needs, and rotate or revoke a key at any time from your provider.

Everything your agent does, it does on your behalf and as your action, including every message, call, text, email, post, update, or decision it sends or makes. You are responsible for reviewing how it behaves, for approving what it may do without you, and for the consents, disclosures, and compliance its actions require, including consent for calls and texts under the Telephone Consumer Protection Act and state law, disclosure that a person is communicating with an automated system wherever the law requires it, fair housing, your brokerage’s policies, and Section 8 and Section 10. Turn the agent off, or ask us to pause it, as soon as it does anything you did not intend.

Data that passes through your hosted agent is processed only to operate it. When hosting ends, the agent stops running and we delete its hosted configuration, stored keys, and stored data within 30 days, unless you ask in writing before hosting ends for an export of your data, which we will provide in a reasonable format.

We own the agent’s software, code, and the tools and methods we use to build and run it. While your hosting is active and paid, you have the right to use your agent for your own business. You own your data and the content your agent creates for you. A copy of the agent to run on your own systems is not included and, if available, is quoted separately.

14. Assumption of risk

You understand that using artificial intelligence, automation, and new technology in a regulated business carries risks, including errors, data loss, security incidents, regulatory complaints, fines, penalties, loss of clients or business, and claims by third parties. You knowingly and voluntarily assume all of these risks and all other risks arising from your use of the Services and Materials.

15. Disclaimer of warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES AND MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, AVAILABILITY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

16. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AGENT INTELLIGENCE LAB, ITS OWNERS, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, COACHES, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS, INCLUDING FRANK VAZQUEZ (THE “RELEASED PARTIES”), WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST COMMISSIONS, LOST DEALS, LOST CLIENTS, LOST DATA, BUSINESS INTERRUPTION, REPUTATIONAL HARM, REGULATORY FINES OR PENALTIES, OR CLAIMS BY YOUR CLIENTS OR OTHER THIRD PARTIES, ARISING OUT OF OR RELATED TO THE SERVICES, THE MATERIALS, OR THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF THOSE DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF THE RELEASED PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES, THE MATERIALS, OR THESE TERMS WILL NOT EXCEED THE TOTAL FEES YOU ACTUALLY PAID TO AGENT INTELLIGENCE LAB DURING THE THREE (3) MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE FIRST CLAIM.

These limitations are an essential part of the bargain between you and us, apply even if any remedy fails of its essential purpose, and apply to the fullest extent permitted by law. They do not limit liability that cannot be limited under applicable law.

17. Release of claims

To the fullest extent permitted by law, you release, waive, and forever discharge the Released Parties from any and all claims, demands, damages, losses, liabilities, costs, and causes of action of every kind, known or unknown, arising out of or related to your purchase or use of, application of, reference to, or reliance on the Services or Materials, including any systems built with you or for you and any output of artificial intelligence or Third-Party Tools.

You waive the benefit of any law that would otherwise limit this release to claims you know about or suspect, including California Civil Code section 1542, which provides: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”

18. Indemnification

You will defend, indemnify, and hold harmless the Released Parties from and against any and all claims, demands, investigations, damages, losses, liabilities, fines, penalties, judgments, settlements, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to: your use, application, or reliance on the Services or Materials; any content, communication, marketing, or system you create, send, publish, or operate; your business, clients, contacts, or transactions; any disclosure of client or consumer information you make to any tool or person; any fair housing, advertising, privacy, telemarketing, or licensing violation; your failure to obtain your broker’s or compliance department’s review or approval; your violation of these Terms; or your violation of any law or the rights of any third party. We may choose our own counsel and control the defense of any claim, and you will not settle a claim that involves a Released Party without our written consent.

19. Payments, subscriptions, and cancellation

The Lab is a monthly subscription that renews automatically each month and is charged to your payment method until you cancel. You may cancel at any time; cancellation takes effect at the end of the current billing period, and you keep access until then. After cancellation you keep read-only access to session recordings for 30 days.

The Private Lab is a monthly subscription with a three-month minimum commitment. You agree to pay for the first three months even if you stop attending or cancel early; after the third month it continues month to month until you cancel. Private Lab enrollment is limited, and requests beyond available capacity are placed on a waitlist.

The Diagnostic is a one-time fee for a 90-minute private session and a written plan. If you enroll in the Private Lab within 7 days after your Diagnostic, the Diagnostic fee is credited toward your first Private Lab month. After 7 days, or if you do not enroll, the fee pays for the session and the plan.

A Custom AI agent has two parts: a one-time build fee for the agent described in its written scope, and a monthly hosting subscription that starts when the agent is handed over and continues month to month until you cancel. Hosting is described in Section 13. If you cancel hosting, or a hosting payment fails and is not corrected, the agent stops running at the end of the paid period. Your artificial intelligence model usage and the third-party tools the agent connects to, such as your CRM or email, are billed to you by those providers and are not included.

The Lab Build Service, the Full Lab Setup, and custom work are one-time fees for the work described when you order. The Lab Build Service is available only to active Lab clients and only for eligible curriculum builds. Custom work begins only after a written scope and quote are approved.

Founding Members who join during Cohort One keep their $99 monthly Lab price for as long as they remain continuously subscribed. If a Founding Member subscription ends for any reason, including a failed payment that is not corrected, the Founding Member price ends with it.

You can cancel a subscription at any time from My Account in the client portal, through the billing page it opens, or by emailing support@agentintelligencelab.com. Prices do not include taxes; you are responsible for any sales, use, or similar taxes that apply. If you dispute a charge with your bank instead of contacting us, we may suspend your access while the dispute is open.

Except where required by law, all fees are non-refundable, including for partial months, missed sessions, unused Services, and work already started or delivered. Prices may change for future billing periods with at least 30 days’ notice by email, except as stated for Founding Members.

20. Membership, conduct, and termination

Membership is subject to the client guidelines shown in the client portal, which are part of these Terms. We may suspend or end your access at any time if you violate these Terms or the client guidelines, misuse the Services, or create risk for us or other Lab clients. Sections 3 through 18 and 21 through 25 survive any cancellation or termination, and so does any fee you already owe, including the rest of a Private Lab three-month minimum.

21. Recordings, content, and confidentiality

Coaching sessions may be recorded. You consent to being recorded and to recordings being stored and shared with Lab clients in the client portal. Do not share confidential client information or another person’s personal information in sessions or on the Lab Floor. You may not record, copy, or share sessions, recordings, or Lab Floor content outside the Lab.

We will not use your name, likeness, business, builds, or results in public marketing without your permission. You agree that we may email you about your account, your services, and the Lab, and that what we collect and how we use it is described in our Privacy Policy at /privacy.

You keep ownership of the content you submit. You grant us a non-exclusive license to host, use, and display it as needed to operate the Services. You must keep confidential what other Lab clients share, as described in the client guidelines.

22. Intellectual property

The Materials, curriculum, recordings, templates, and website are owned by Agent Intelligence Lab or its licensors. While you are a Lab client, you may use them for your own internal business. You may not sell, resell, redistribute, publish, or create competing courses or products from them.

23. Binding arbitration and class-action waiver

Please read this section carefully. It affects your legal rights.

Any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or the Materials, including whether this section applies, will be resolved by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator, in Maricopa County, Arizona. Judgment on the award may be entered in any court with jurisdiction. Either party may bring an individual claim in small claims court instead, and either party may seek temporary injunctive relief in court to protect intellectual property or confidential information.

YOU AND AGENT INTELLIGENCE LAB EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO BRING OR PARTICIPATE IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR ARBITRATION. Claims may be brought only in an individual capacity. If this waiver is found unenforceable for any claim, that claim will proceed in court and not in arbitration, and it will never proceed in arbitration on a class, collective, or representative basis.

To the fullest extent permitted by law, any claim must be brought within one (1) year after it arises, or it is permanently barred.

24. Governing law

These Terms are governed by the laws of the State of Arizona, without regard to its conflict of laws rules, and by the Federal Arbitration Act. Subject to Section 23, the state and federal courts located in Maricopa County, Arizona have exclusive jurisdiction.

25. General

These Terms, together with the client guidelines, are the entire agreement between you and us about the Services and replace any prior statements. If any provision is found unenforceable, it will be enforced to the maximum extent permitted and the rest of these Terms stay in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them. We are not liable for delays or failures caused by events beyond our reasonable control.

We may update these Terms. We will post the updated version on this page with a new effective date, email you about material changes at least 30 days before they take effect, and may ask you to accept them. Your continued use of the Services after an update takes effect means you accept it. An update never applies to a dispute that arose before it took effect. Notices to you go to the email address on your account, and notices to us go to support@agentintelligencelab.com.

You agree that your electronic acceptance of these Terms is your signature and has the same effect as a handwritten signature, and that we may record your typed name and the date, time, version, IP address, and browser information of your acceptance with your account.
